These terms ("Terms") govern your use of the Summa Clean platform and services. By creating an account, booking a service, or otherwise using the platform, you agree to these Terms. Please read them carefully.
1. Definitions
"Summa Clean," "we," "us," "our" means Summa Clean Inc., an Ontario corporation with its registered office in Ottawa, Ontario, Canada.
"Platform" means the Summa Clean website, mobile applications, and associated services that connect customers with cleaning service providers.
"Customer," "you" means a person or entity who books cleaning services through the Platform.
"Service Provider" or "Crew" means an independent cleaning professional who delivers services through the Platform.
"Service" means any cleaning service booked through the Platform, including residential standard, deep, and move-out cleans, and commercial office cleans, along with any add-ons selected.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under the laws of your jurisdiction to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.
3. Account creation and security
To book services, you may need to create an account. You agree to provide accurate and complete information, keep it updated, and maintain the confidentiality of your account credentials. You are responsible for activity that occurs under your account. Notify us immediately at trust@summaclean.ca if you believe your account has been accessed without authorization.
4. Booking and confirmation
4.1 Quotes
The Platform provides itemized quotes based on inputs you provide (property type, size, scope, schedule). Quotes shown before you confirm a booking are binding — we will not change the quoted price between booking and visit unless you change the scope or add services.
4.2 Booking confirmation
A booking is confirmed when you receive a confirmation email from the Platform. Booking confirmation creates a service contract between you and Summa Clean (or between you and the Service Provider, where the Platform operates as agent — see Section 11).
4.3 Scheduling
We will use commercially reasonable efforts to dispatch a qualified Service Provider within the time window you select. If we are unable to fulfill the booking, we will notify you and either reschedule or cancel without charge.
5. Pricing and payment
5.1 Pricing
All prices are quoted in Canadian dollars and are subject to applicable taxes (HST in Ontario, currently 13%). The Platform's pricing engine is itemized and transparent — surge pricing, when applied, is shown explicitly.
5.2 Payment
Payment is processed by Stripe (our third-party payment processor). You authorize the Platform to charge your stored payment method for confirmed and completed services, including taxes and tips you elect to add. Charges typically occur after the visit is complete.
5.3 Refunds
If a Service is not delivered as booked, you may flag the issue through your dashboard within 48 hours of the scheduled completion. Our Trust & Safety team will review the case. Resolution may include a re-clean at no charge (our standard remedy), partial refund, or full refund depending on the circumstances.
6. Cancellations and rescheduling
6.1 Free changes
Cancellations and rescheduling are free of charge if made more than four (4) hours before the scheduled service start time.
6.2 Late cancellation
Cancellations made within four (4) hours of the scheduled start time are subject to a cancellation fee equal to fifty percent (50%) of the booking total.
6.3 No-show
If our Service Provider arrives at the property and is unable to perform the service due to your absence, lack of access, or other reason within your control, you will be charged the full booking amount.
6.4 Our cancellations
If we cancel a confirmed booking due to Service Provider unavailability or other issues on our side, you will not be charged. We will use commercially reasonable efforts to reschedule and may, at our discretion, offer a credit or discount on your next booking.
7. Service quality and re-clean guarantee
We stand behind our Services. If you believe a Service did not meet the booked scope, report it through your dashboard within forty-eight (48) hours of the service completion. We will review the audit trail and photo log, and if we find the report substantiated, we will dispatch a Service Provider to address the issue at no additional charge ("re-clean"). The re-clean must be scheduled within fourteen (14) days of the original visit.
8. Damage and loss
8.1 Reporting
Damage to your property or loss of items must be reported through your dashboard within forty-eight (48) hours of the visit, with photographic evidence and a description.
8.2 Investigation
Our Trust & Safety team will investigate, including reviewing the visit's audit trail and photo log. Investigations typically conclude within seven (7) business days, with a determination shared in writing through your dashboard.
8.3 Resolution
Substantiated claims may be resolved through repair, replacement at like-kind value, or insurance claim under our commercial general liability or theft and loss bonding coverage. Determinations of substantiation rest with our Trust & Safety team in their reasonable judgment.
8.4 Limitations
We are not liable for: (a) damage caused by pre-existing wear or property defects; (b) damage to property you have not disclosed during booking (e.g., fragile items not flagged in advance); (c) loss of items you cannot prove were present immediately prior to the visit; or (d) consequential, indirect, or special damages.
9. Customer responsibilities
You agree to:
- Provide accurate property information during booking
- Ensure access to the property at the scheduled time (or provide working entry instructions)
- Disclose any known hazards (pets, allergens, biological contaminants, structural issues)
- Secure or remove valuables, delicate items, and confidential documents prior to the visit
- Not require Service Providers to perform tasks outside the booked scope without booking a scope adjustment through the Platform
- Treat Service Providers with respect — harassment, abuse, or discriminatory conduct will result in immediate account termination
10. Acceptable use
You may not use the Platform to: violate any law; harass, abuse, or harm another person; impersonate another person or misrepresent your identity; circumvent our vetting, screening, or pricing systems; reverse-engineer or scrape the Platform; attempt to defraud Summa Clean, Service Providers, or other Customers; or use the Platform for any commercial purpose other than booking Services as a Customer or an authorized representative of a Customer entity.
11. Service Provider relationship
Service Providers are independent professionals who deliver Services through the Platform. Where the Platform operates as the prime contractor, your contract is with Summa Clean Inc. Where the Platform operates as agent, your contract is with the Service Provider, with Summa Clean acting as scheduling and payment agent. Summa Clean carries insurance covering Service Providers performing through the Platform regardless of contractual structure.
12. Intellectual property
The Platform, including its software, content, design, and trademarks, is owned by Summa Clean Inc. or its licensors and is protected by Canadian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works without our prior written consent.
13. Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.
14. Disclaimers
The Platform is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. While we vet Service Providers and maintain quality standards, we cannot guarantee that every Service will meet every Customer's subjective expectations. The re-clean guarantee in Section 7 is your primary remedy for substantiated quality issues.
15. Limitation of liability
To the maximum extent permitted by law, Summa Clean's aggregate liability for any claim arising from or related to the Platform or Services is limited to the greater of (a) the amount you paid for the Service giving rise to the claim, or (b) two thousand Canadian dollars (CAD $2,000). We are not liable for indirect, incidental, consequential, or punitive damages.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent your jurisdiction's law applies, the limitations in this section apply only to the extent permitted by law.
16. Indemnification
You agree to indemnify and hold harmless Summa Clean Inc., its officers, directors, employees, and agents from any claim, demand, loss, or damage, including reasonable legal fees, arising from your breach of these Terms, your violation of any law, or your infringement of any third party's rights.
17. Term and termination
These Terms remain in effect while you use the Platform. We may suspend or terminate your account at any time for breach of these Terms, abuse, fraud, or non-payment. You may close your account at any time through your dashboard. Sections that by their nature should survive termination (intellectual property, indemnification, limitation of liability, governing law) survive.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and posted on the Platform at least thirty (30) days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Platform and close your account.
19. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute not resolved through informal means.
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting legal@summaclean.ca. We will respond within fifteen (15) business days. If the dispute remains unresolved sixty (60) days after initial notice, either party may pursue formal proceedings.
20. Miscellaneous
Entire agreement: these Terms, together with our Privacy Policy and any additional terms you accept when using a specific feature, constitute the entire agreement between you and Summa Clean.
Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment: you may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

These Terms are subject to legal review. Customers and partners with specific contractual relationships (e.g., property management firms with master service agreements, commercial office clients with custom SLAs) may have additional or different terms governing their engagement; those agreements take precedence over conflicting provisions of these general Terms with respect to the specific engagement.
